Change on the Board of Management and the Supervisory Board

At the start of the Annual Stockholders' Meeting, Supervisory Board Chairman Werner Wenning honored the achievements of Prof. Wolfgang Plischke, who had worked for Bayer AG since 1980 and retired effective April 30, 2014. Plischke was appointed to the Board of Management eight years ago and given responsibility for the areas of Innovation, Technology and Sustainability, as well as the Asia/Pacific region.

"True to our mission 'Science For A Better Life,' Bayer is an innovation company with activities in particularly research-intensive areas. The role of Management Board spokesman for Innovation is therefore of central importance to the company. And we can certainly say that Bayer was very, very successful in these areas during your tenure as a member the Board of Management," Wenning said, pointing out that numerous major products had been developed and patented during this period.

Wenning thanked Plischke on behalf of the entire Supervisory Board for these achievements and for his many years of successful service. "And let me add on a personal note: you and I worked together for four years on our company's Board of Management. I always valued your great loyalty as a colleague. And for that I would like to personally thank you. We all wish you the very best for your retirement.”

Wenning then introduced as Plischke's successor Kemal Malik, whom the Supervisory Board had appointed to the Board of Management with effect from February 1, 2014. Malik assumes responsibility for Innovation and for the North America and Latin America regions. He has held various positions at Bayer since 1995. Immediately prior to his appointment to the Board of Management, he was a member of the Executive Committee of Bayer HealthCare and served as Head of Global Development and Chief Medical Officer for the Pharmaceuticals Division. "On behalf of the entire Supervisory Board, I wish you every success and all the best for your new duties."

Wenning also thanked Prof.  Ekkehard Schulz for his many years of service to the company. Schulz did not stand for re-election as he had reached the age limit for Supervisory Board membership. "We wish you all the best for the future."

Dr. rer. nat. Simone Bagel-Trah

Wenning introduced Dr. Simone Bagel-Trah as a proposed new member to serve until the end of the Annual Stockholders' Meeting in 2019. Dr. Bagel-Trah is Chairwoman of the Supervisory Board and the Shareholders' Committee of Henkel AG & Co. KGaA. After studying biology and then earning a Ph.D. in microbiology, Bagel-Trah initially worked as an independent consultant in the field of pharmaceutical microbiology and as partner and director of a society for clinical microbiology research and communication. "She therefore has excellent professional qualifications for serving on the Supervisory Board of Bayer AG."

Prof. Ernst-Ludwig Winnacker has agreed to serve on the Supervisory Board for a further two years. "We are very pleased about this," said Wenning. The Supervisory Board currently intends to propose to the Annual Stockholders' Meeting in 2016, i.e. at the end of this two-year period, that Plischke then be elected to replace Winnacker. By that time the statutory "cooling-off" period for Plischke as a former member of the Board of Management will have expired. Said Wenning: "With Prof. Plischke on the Supervisory Board, we would then continue to have a member with outstanding expertise in the area of innovation."
