Haynes and Boone New York Office Adds New Partners To Focus on Corporate Securities and Broker-Dealer Regulation

NEW YORK– Haynes and Boone, LLP has added two new partners, Brian Daughney and Eden Rohrer, to the rapidly expanding New York-based Business and Securities Regulation practice group.
“The addition of Brian and Eden increases the strength of our Business and Securities Regulation practice,” said Ken Bezozo, the New York office administrative partner. “Our commitment to superior client service required that we supplement our broad corporate and securities strengths with these additions. Our determination led to the arrival of these highly experienced securities, SPAC and broker-dealer partners in order to better serve the investment banking and brokerage communities.”
Brian Daughneyhas more than 20 years experience as a corporate and securities law practitioner focused on early-stage and mid-cap company representation. He represents public and private issuers in start-up financings, venture capital transactions, SPACs, private placements of debt and equity, including Regulation D, PIPEs and public offerings. He also counsels investment banks, underwriters and placement agents in transactions and regulatory issues. SPACs are “Special Purpose Acquisition Companies” whose existence relies upon a host of complex rules and regulations. Mr. Daughney received a Juris Doctor from Hofstra Law School and is a frequent lecturer at securities law and broker-dealer conferences on issues pertaining to securities law and public company representations.

Eden Rohreris a veteran attorney who focuses on broker-dealer compliance, arbitration and litigation. Ms. Rohrer advises broker-dealers on all aspects of their regulatory requirements including membership applications, registration, employment, trading, market making issues and other compliance matters. Ms. Rohrer represents broker-dealers and registered persons in FINRA (formerly, NASD and NYSE) and AAA arbitrations as well as in SEC, FINRA, state and foreign regulatory examinations, investigations and enforcement actions. Ms. Rohrer frequently advises both domestic and foreign clients with respect to brokerage, finders and consulting activities in the context of registration obligations and exemptions. Additionally, Ms. Rohrer litigates commercial actions in federal and state forums primarily involving securities and corporate issues. She received a Juris Doctor from Brooklyn Law School and a Bachelor of Arts degree in English Literature from Colgate University.
