Pace Micro Technology plc (the "Company") announces that, at the General Meeting held earlier today to approve the acquisition of the set top box and connectivity solutions business of Royal Philips Electronics, all resolutions set out in the Notice of General Meeting dated 31 March 2008 were passed by the Company's shareholders.  The acquisition is expected to complete on 21 April 2008 upon admission of the new Pace shares to the Official List and to trading on the London Stock Exchange.
